Agreement version 2026-09-16 Draft 3 • Attorney review copy

Welcome to Suited. We help you meet people who know the business of gaming. Here’s how we’ll work together: the services you choose, what they cost, and how we care for introductions, candidate information, and replacements. Clear terms help everyone start on the same page.

1 Working together

This agreement is between the Suited legal entity named in the order form (“Suited,” “we,” or “us”) and the employer named there (“you”). Each accepted order identifies the services, price, covered entities, and applicable addenda. Your representative confirms they have authority to bind the employer.

Only addenda identified by title and version in the order register, supplied in full, and accepted by both parties form part of an order. A reference alone does not make a pending document effective. An accepted addendum controls its subject; an order changes these terms only expressly. Website updates do not amend accepted terms. Required statutory duties apply regardless of addendum status.

2 Your services and pricing

Choose the services that fit your needs. Posting charges and placement fees are separate; a paid posting does not include or replace a placement fee. All prices below are in US dollars, plus applicable taxes other than taxes on our income.

Each posted role allows unlimited applicants. Your order states the activation dates and how bundled roles are used. No automatic renewal applies unless separately agreed in the order.

Placement fee. For a role with first-year annual base salary of $125,000 or more, the placement fee is 3% of the full annual base salary, not just the amount above $125,000. Base salary excludes bonuses, commissions, equity, benefits, and expense reimbursements. A different fee or a contract engagement requires an agreed order stating the calculation.

First hire free. Each employer receives one eligible placement fee waiver, once only. The order records eligibility and use of the waiver. A candidate who signs but never starts does not use the first-hire benefit. The free posting and free first hire are separate benefits.

Job description packs. AI writing packs cost $49–$200, depending on the selected pack. The order or checkout states the pack contents and price. You review and approve all generated content before use.

Introductions and payment

3 When an introduction counts

An introduction occurs when a candidate’s application and score are first displayed to your employer account. Applying to Suited or being sourced by us alone is not an introduction. We record the display event, candidate, employer, and time. These terms apply prospectively from acceptance; earlier introductions remain governed by the terms actually accepted for them.

For 24 months after that first display, the applicable placement fee is owed if you or a Covered Entity hires or engages that candidate, even through a direct application, another agency, a different role, or another hiring channel. The fee applies to an accepted offer or engagement during that period, even if the start date is later.

Covered Entities means the affiliates, related entities, managed properties, and tribal enterprises under the same authority expressly identified in your order. You agree to pay the applicable fees for their covered hires. Naming an entity does not itself bind it or waive sovereign immunity. Share candidate information only as Section 7 and the order permit.

Already in touch? No placement fee applies if you can show dated evidence that you were in contact with the candidate before our introduction. Please tell us promptly and provide that evidence so we can resolve attribution before an offer.

Changing the hiring route does not remove a fee that otherwise applies. This fee protection does not give permission to retain or reuse candidate data beyond the agreed purpose, and it does not prevent a candidate from choosing where to work.

4 Offers invoices and payment

Please report an accepted offer within 14 calendar days and provide the signed offer, annual base salary, hiring entity, and expected start date. If the start is sooner, report it in time to pay before the first day. Provide accurate details and, on reasonable request, records needed to verify the fee; unrelated personal information may be redacted. The same reporting deadline applies to a covered contract engagement or re-engagement.

We invoice the placement fee when the offer is signed. Payment is due before the candidate’s first day, by card or ACH using the instructions we provide. An agreed contract engagement follows its order’s fee and due date. Payment is not automatically collected merely because a fee appears in your account.

Posting and writing-pack charges are due as stated in the accepted order or checkout. A future price change applies only to a new order you accept. A fee waiver must be recorded in the order or confirmed by us in writing.

If something on an invoice looks wrong, contact us promptly with the details and pay the undisputed amount on time. Overdue undisputed amounts accrue simple interest at 1% per month or the maximum lawful rate, whichever is lower. You reimburse reasonable collection costs, including reasonable legal fees, to the extent permitted by law.

Placement fees are not refundable. The replacement remedy in Section 5 addresses qualifying departures and no-starts, subject to any rights that applicable law does not allow the parties to exclude.

Your replacement protection

5 The first 90 days

Sometimes a hire does not work out. If a placed candidate resigns or is terminated for documented performance or conduct within 90 calendar days of their start date, we will conduct one replacement search for the same role without another placement fee, subject to the terms below.

Let us know in writing within 10 business days after separation, with the date and reason. Provide reasonably requested supporting information and cooperate with the replacement search. Fees due for the placement must be paid, or covered by an agreed waiver, before we begin the replacement search.

One replacement per filled role. Our commitment is to conduct one replacement search, not to guarantee a hire or provide a refund. A replacement hire does not start a new 90-day period or create another replacement entitlement. We do not promise a particular candidate or completion date.

Business changes. The guarantee does not apply when the role is eliminated, restructured, frozen, or defunded. Those decisions do not cancel the placement fee. The replacement role must remain materially the same; a changed role needs a new written agreement.

If the candidate never starts. We will conduct a replacement search without another placement fee, subject to the same-role and cooperation requirements above. A no-start does not use the 90-day guarantee or first-hire waiver. Any placement fee paid remains applied to that role; the 90-day period begins when the first candidate actually starts. We do not guarantee a hire or completion date.

Gaming license decisions. You determine the role’s licensing requirements and the candidate’s suitability. A candidate’s license denial that prevents a start is treated as a no-start; a denial causing separation within the first 90 days is a guarantee event, rather than by itself a breach by Suited. Other claim requirements still apply.

6 Keeping the guarantee fair

Re-engagement. If a candidate released under the guarantee is re-engaged within 12 months after separation, the original placement is treated as successful and the guarantee for it ends. This includes employment, contracting or 1099 work, an agency assignment, or work for an affiliate, related entity, managed property, or tribal enterprise under the same authority covered by the order.

The full original placement fee then becomes payable, including any amount previously waived or credited, less amounts already paid for that placement. We will not collect the same original fee twice. Report re-engagement within 14 calendar days, or sooner if needed to pay the resulting invoice before it starts.

Repeated claims. More than two guarantee claims in a rolling 12-month period triggers a review before a third is honored. We may request reasonable evidence and pause that claim while reviewing it. Claims must be genuine; planned short-term hiring, intentional misstatements, or arrangements designed to obtain repeated free replacements are excluded.

Candidates data and responsible hiring

7 Treating candidate information with care

Candidate applications, resumes, and scores are confidential and may be used only to evaluate and fill the posted role. Limit access to authorized people working on that hire, protect account credentials, and promptly report suspected unauthorized access. You are responsible for compliance by people you authorize. Do not sell, scrape, redistribute, or use the information to build a future sourcing pool, including importing non-hired candidates into a CRM or ATS for future recruitment. Any different permitted use requires our written agreement and a lawful basis.

We honor lawful candidate deletion requests without requiring your consent. When notified, you must delete or restrict affected copies unless retention is legally required. Required hiring records, legal holds, and records needed to establish or defend legal claims may be retained only for those purposes, with restricted access and no future sourcing use.

Both parties will use reasonable safeguards, notify the other promptly of a security incident affecting shared candidate data, and cooperate on required responses. Each party protects the other’s nonpublic business information, except where lawfully public, already known, independently developed, or lawfully received elsewhere. Legally required disclosure is permitted, with advance notice where lawful.

Schedule A contains proposed data protection terms. Before processing begins, the parties must record the actual data roles and processing details and accept any terms required by applicable law or the accepted order. If required terms or transfer safeguards are incomplete, the affected processing must not begin or continue. Section 7 still protects all shared candidate data; a “not applicable” entry cannot override law.

8 Helpful technology with people in charge

Suited scores and ranks applications against the requirements you provide. It does not automatically reject, hide, or remove applicants. You make every decision to advance, decline, interview, or hire. Every applicant receives an automated response within 48 hours of applying; that response is not a promise of an interview or a hiring decision.

Scores and AI-generated job descriptions are decision support and can be incomplete or wrong. Review them for accuracy and job relevance, consider the underlying application, and provide required accommodations. Do not use protected characteristics or unlawful proxies as hiring criteria.

Each party remains responsible for the legal duties that apply to its own activities. You are responsible for lawful job requirements, accurate salary disclosures, hiring decisions, employment practices, and required employer notices and records. We are responsible for duties applicable to our provision of the service. Human review does not by itself remove AI-related legal obligations.

Schedule B allocates AI responsibilities when completed and accepted. Before scoring or ranking is used for a role, the parties must document the applicable requirements, owners, costs, and evidence of completed prerequisites. Use must remain paused while required audits, notices, assessments, or approvals are outstanding. Job posting may continue only where it can lawfully operate without the affected AI features. Human review and contractual allocations do not replace legal compliance.

We do not conduct background checks as part of these services. You arrange lawful verification of qualifications, references, work eligibility, and licensing. Any service subject to consumer-reporting requirements must be addressed before use; these terms do not determine or disclaim either party’s legal status.

Service boundaries and agreement terms

9 A clear scope

You are the employer and control employment terms, supervision, pay, benefits, and workplace decisions. Suited is an independent service provider, not the candidate’s employer. Embedded recruiting or labor-supply arrangements require a separate agreement. Neither party may bind the other.

We will provide the agreed services with reasonable care. Except for express commitments here, and to the extent permitted by law, we do not warrant that candidate information is accurate, a hire will perform as expected, a license will be granted, or the service will always be available. No particular hiring outcome is guaranteed.

Each party must obtain the licenses, registrations, and approvals required for its activities. We may suspend or end affected services without breach when required by a regulator or law. Lawfully earned fees remain payable; treatment of prepaid, unperformed services follows applicable law and the order.

Tribal enterprises. Schedule C is a proposed entity-specific agreement, not an existing waiver. Before services begin for an entity that may have sovereign immunity, its authority, required approvals, forum, and limited waiver must be completed and separately executed by authorized parties. Pending work is not approved merely because an order or these terms is accepted. No tribe or related enterprise is bound by another entity’s signature alone.

10 Responsibility if something goes wrong

To the extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits or opportunities. Each party’s total aggregate liability arising out of or relating to this agreement, across all orders and legal theories, is limited to the greater of $1,000 or fees paid or payable under it in the 12 months before the event giving rise to the claim. Multiple claims do not multiply the cap.

Those limits do not limit your payment obligations, either party’s fraud or willful misconduct, or liability that law does not allow to be limited. They do not remove an expressly promised replacement service. The following third-party claim obligation remains subject to the stated liability limits.

You will defend and indemnify Suited against third-party claims, damages, and reasonable costs arising from your unlawful hiring decisions, misuse of candidate information, or material breach of this agreement, except to the extent caused by Suited’s own breach, negligence, or misconduct. We will promptly notify you, reasonably cooperate, and let you control the defense with qualified counsel. Delayed notice reduces this obligation only to the extent it materially harms the defense. A settlement must fully release Suited; it may not admit our fault or impose obligations on us without our written consent.

11 Ending the relationship and resolving issues

Either party may end future services by written notice. We may suspend access for nonpayment, unlawful use, or a material breach. Ending access does not cancel earned fees, accepted orders, existing introduction periods, or surviving replacement obligations. Confidentiality, data restrictions, payment, liability, and dispute terms survive as needed to give them effect.

If a problem comes up, let’s try to resolve it first. Send written notice with the details; representatives will work in good faith for 30 days before starting proceedings, except urgent protective relief. Governing law and the exclusive dispute forum are specified in the order, subject to any tribal addendum and mandatory law.

This agreement, accepted orders, and accepted addenda (separately signed where required) are the entire agreement for these services. Changes require both parties’ written or recorded electronic acceptance. An unenforceable provision is limited or severed as law permits; the remaining terms continue. Failure to enforce a term once does not waive it. Notices go to the contacts in the order; a failed delivery must be resent by another agreed method. Purchase-order or vendor-portal terms do not amend this agreement unless both parties expressly accept them as an amendment.

Order form and acceptance record

Complete this order and the schedule register before acceptance. Keep the exact accepted texts and records together. Later orders may use this agreement; they do not rewrite earlier accepted versions.

By signing or affirmatively selecting “I agree,” I confirm that I am authorized to bind the employer, have read this agreement and order, and agree to their terms. I consent to electronic signatures and delivery and can download, save, and print the records. No box may be preselected. You may request paper delivery through the notice contact; that request does not invalidate an earlier lawful electronic acceptance.

The agreement becomes effective on employer acceptance and Suited’s written or authorized system confirmation. Only accepted schedules listed in the register apply; a pending schedule does not authorize affected work. Both parties receive the identical accepted package by email and can retrieve, save, and print it. The displayed terms, order, audit record, and archived text must use the same agreement version. Changes require a new version and acceptance, without rewriting earlier records.

Schedules

A schedule forms part of an order only once it is recorded as accepted in the register. Each is set out in full below.

Schedule A — Data protection terms

Schedule A Data protection terms

Schedule version A 2026-09-16 Draft 1. These terms apply only to the processing identified in a completed, accepted record on the next page. They supplement Section 7 and control any conflicting data-processing term for that scope.

A1 Scope and data roles

The record must identify the purpose, duration, people, data categories, locations, and each party’s role for each activity. A party’s role follows what it actually does. Suited may independently control its own candidate-board activities and act on an employer’s instructions for other activities; one label does not govern every activity. Joint control requires a separate allocation where applicable.

For activities we perform as your processor, contractor, or service provider, we process data only for the specified recruitment purposes and documented lawful instructions, including transfer instructions. We will alert you if an instruction appears unlawful and pause it until resolved. If law requires different processing, we will notify you before acting unless law prohibits notice.

A2 Permitted use and people

Neither party may sell or share covered data for cross-context behavioural advertising, build unrelated profiles, or use it for unrelated recruitment or general model training. Suited will not retain, use, disclose, or combine it outside the permitted business purpose or direct business relationship except as law permits. Approved providers must follow equivalent restrictions. Employer use remains limited by Section 7.

Each party supplies required privacy notices and establishes a lawful basis for its own collection, disclosure, and use. You provide lawful instructions and accurate, necessary data. We limit personnel access to those who need it and require confidentiality. Do not submit sensitive data beyond the expressly approved categories.

A3 Security incidents and assistance

Before activation, agree security measures appropriate to risk in the processing record. Suited must maintain the agreed measures, regularly assess them, and not materially reduce protection. Neither an unverified certification nor an unimplemented control is represented as being in place.

We notify you without undue delay after becoming aware of a breach affecting covered personal data, provide available details and updates, and cooperate on containment and legally required notifications. Each party handles its own mandatory reporting. We reasonably assist with rights requests, security obligations, impact assessments, and regulator consultations, taking account of the processing and available information. We forward requests relating to your controlled data and follow lawful instructions, subject to Section 7 and mandatory law.

A4 Service providers and transfers

Use of a subprocessor requires the authorization recorded here. With general authorization, we provide at least 30 days’ advance notice of an addition or replacement and allow a reasonable data-protection objection during that period. We work to resolve it; unresolved affected processing will not begin or must stop. We impose equivalent written protections and remain responsible for our subprocessors’ performance of their obligations to us.

A restricted international transfer requires the applicable lawful mechanism, completed supporting terms, and required assessments before transfer. This schedule is not itself a standard contractual clause or other transfer instrument. Any mandatory transfer instrument controls its subject.

Schedule A Processing record and oversight

A5 Retention deletion and verification

At the end of the services, we return or delete data processed on your behalf at your choice and delete copies, except required lawful retention. The record specifies active-system and backup deletion periods. Retained data remains protected, restricted to the retention purpose, and deleted when that purpose ends. We confirm completion on reasonable request. Neither party may use retained data as a future sourcing pool.

We make information reasonably needed to demonstrate these obligations available and permit legally required audits, including inspections, by you or a qualified auditor bound by confidentiality. Coordinate routine reviews on reasonable notice without unnecessarily exposing other clients’ data; urgent incidents and regulatory rights are not delayed. We certify that we understand these restrictions, will comply with applicable privacy obligations, and will provide the protection required by applicable law. You may verify compliant use and stop or remediate unauthorized use. We notify you if we can no longer meet applicable data-protection obligations.

Routine cooperation is included in the agreed service price. Any exceptional assistance or audit charges require advance written agreement and cannot delay a statutory duty. The main agreement’s liability terms apply only to the extent compatible with mandatory law and any controlling transfer instrument.

A6 Complete before affected processing begins

Use an attached data map if more space is needed. No blank below establishes a fact or authorizes processing.

Schedule B — AI use and compliance

Schedule B AI use and compliance

Schedule version B 2026-09-16 Draft 2. This schedule applies to the roles and AI uses identified below when completed and accepted. It allocates work; signing it does not certify that an audit, notice, or other prerequisite has been completed.

B1 Check the actual use before enabling it

You disclose role locations, remote-work arrangements, relevant hiring entities, and how reviewers will use scores. We disclose the scoring system, inputs, model version, intended use, and known limitations. Together we document applicable requirements before scoring starts and reassess material changes. A location is a review trigger, not a conclusion that every AI law applies. Human review is not an exemption by itself.

Where NYC rules apply, the review must consider whether a score or ranking is the sole basis for a decision, is weighted more than any other criterion, or overrides other conclusions. Required independent bias audits, public summaries, and advance candidate notices must be completed before covered use. Other jurisdictions require their own assessment; do not treat a NYC review as universal clearance.

B2 Duties and costs

You are responsible for lawful criteria, meaningful human review, accommodations, employment decisions, and employer-use notices, publication, audits, impact assessments, and records that law assigns to you. As between the parties, you arrange and pay for your required independent employer-use audits unless the completed record expressly reallocates a cost.

We are responsible for requirements applying to us as provider, developer, employment agency, or other applicable role. At our expense, we supply available technical documentation, version information, limitations, and reasonable cooperation needed for your lawful use. Shared or additional audit and testing costs require written allocation before work starts. No allocation transfers a nondelegable statutory duty or guarantees access to another party’s confidential data.

We maintain the no-automatic-rejection design stated in Section 8. Both parties retain legally required records and protect data used for testing. Neither party may claim an audit, certification, or nondiscrimination result without supporting evidence. The main agreement governs liability; this schedule creates no separate blanket AI indemnity.

B3 Pause and change control

If a required prerequisite is missing, affected use must remain paused. If a material error, unlawful outcome, expired audit, or compliance gap emerges, promptly notify the other party, preserve necessary records, and pause affected use until resolved. Posting may continue only if it lawfully works without the affected scoring or ranking. A non-AI workflow must not rely on those scores. Material model or use changes require renewed review.

Schedule C — Tribal enterprise terms

Schedule C Tribal enterprise terms

Schedule version C 2026-09-16 Draft 2. This schedule requires entity-specific completion, required approvals, and separate signatures on the following page. It is not activated by a standard checkout checkbox. No service for the covered sovereign entity is authorized while those conditions remain incomplete.

C1 Entity authority and regulatory requirements

Only the tribal entity expressly named in the execution record is a party to this schedule. Its authorized representative must provide the governing authority and required resolution or approval authorizing this transaction, dispute forum, limited waiver, and enforcement terms. A parent tribe, commission, enterprise, or managed property is not bound merely because it is related to the signatory.

The record identifies applicable tribal law, hiring preferences, TERO rules, vendor licensing and fees, tribal gaming commission requirements, and any required federal approvals. Each party obtains approvals for its own activities. You explain applicable local requirements; we cooperate with lawful preferences and procedures. Neither party represents that another entity’s approval substitutes for its own. This agreement does not confer authority to manage gaming operations.

C2 Proposed limited waiver

Upon valid separate execution and all required approvals, the named tribal entity expressly waives sovereign immunity solely for Suited’s claims against it arising from the identified agreement and orders, and solely in the forum, for the remedies, and against the assets or funds expressly designated in the completed execution record. The waiver includes entry of judgment and enforcement only to that stated extent. No other entity, claim, forum, remedy, asset, or fund is included.

The named entity consents to personal jurisdiction and service by the method recorded below. Nothing creates subject-matter jurisdiction in a court that lacks it. The parties must select a legally available forum and state any required tribal-court exhaustion or appeal process. The approved waiver survives termination solely for covered claims and enforcement within applicable limitation periods; no unilateral withdrawal affects obligations already covered by it.

No recourse is authorized against tribal trust or restricted property, or against funds or assets not expressly and lawfully designated for enforcement. The record must identify permissible relief and collectible assets or funds with enough specificity for enforcement. A signature does not fill an omitted forum, remedy, or funding term.

C3 Fees related entities and precedence

The main agreement’s fee, attribution, and replacement terms apply only to the named contracting entity and covered hires identified in the order, subject to applicable law. If the signatory promises payment for hires by another enterprise or managed property, list it expressly. This payment promise does not waive that other entity’s immunity or create direct recourse against it.

This accepted schedule controls conflicts on tribal authority, immunity, forum, and enforcement. Schedule A governs covered data processing and Schedule B governs covered AI use when separately applicable and accepted. Required regulatory restrictions apply regardless of contract language. A regulator-required pause does not enlarge this waiver.

Until the execution record is complete and validly approved, this schedule remains a proposal. Suited must not treat the main agreement, a free posting, a fee ledger entry, or a purported affiliate relationship as proof of waiver or authorization to proceed.

Schedule C Approval and execution record

Complete with the tribal entity’s authorized legal representatives. Attach the approval documents. All designated terms must be consistent with the entity’s actual authority and applicable law.

Full legal name of tribal contracting entity __________
Entity type charter and relationship to the tribe __________
Covered agreement version and order IDs __________
Other entities and properties whose hires the signatory agrees to pay for __________
Authorized representative name title and source of authority __________
Tribal resolution approval number date and attached text __________
Governing law and its permitted scope __________
